AGB & Nutzungsbedingungen

1. Geltungsbereich

These Terms govern the use of software products, digital services, platforms, consulting engagements and all other services provided by CypherSys, operated by Ing. Diego Ezequiel Caffese, Arbeitergasse 9/15, 1050 Vienna, Austria ("CypherSys", "we", "us" or "our"). By accessing cyphersys.at or using our services, you accept these Terms in full. If you do not accept them, you must not use our services.

2. Leistungen

CypherSys provides: cloud infrastructure design, deployment and management; cybersecurity consulting, assessment and implementation; observability platform setup and management; DevOps automation, CI/CD and infrastructure as code; software development and custom IT solutions; SaaS platforms. Scope, deliverables, timelines and pricing are defined in individual service agreements, SOWs or subscription plans.

3. Nutzerkonten

Where an account is required: users must provide accurate information; are responsible for login credentials and all activity; must notify CypherSys of unauthorised use; CypherSys may suspend accounts that violate these Terms.

4. Zulässige Nutzung

You agree not to: use services for unlawful purposes; gain unauthorised access to systems or data; distribute malware; disrupt availability; reverse engineer or resell without consent; infringe others' IP. Violation may result in immediate termination and legal action.

5. Zahlungen

Payment terms are in the relevant agreement or invoice. Invoices are typically payable within 14 or 30 days. Prices are exclusive of VAT unless specified. Late payments may incur interest under Austrian law. Refunds are handled per service agreement.

6. Geistiges Eigentum

All software, code, documentation, designs and materials created by CypherSys remain CypherSys's IP unless otherwise agreed in writing. Client-specific deliverables are defined in the respective SOW. The CypherSys name and logo may not be used without written consent.

7. Verfügbarkeit

We aim for reliable, high-availability services but cannot guarantee uninterrupted operation. Scheduled maintenance or unforeseen failures may cause temporary interruptions. Where an SLA is in the contract, its terms govern availability and remedies.

8. Haftungsbeschränkung

To the fullest extent permitted by Austrian law: CypherSys is not liable for indirect, incidental, special or consequential damages; total liability shall not exceed the amount paid by the client in the three months preceding the claim; we are not liable for force majeure. This does not apply to gross negligence or wilful misconduct, or where liability cannot be excluded under mandatory Austrian law.

9. Vertraulichkeit

Both parties agree to keep confidential all information disclosed in connection with the services that is designated confidential or reasonably understood to be confidential. Confidentiality survives termination for three (3) years.

10. Kündigung

Either party may terminate in accordance with the contract (typically 30 days written notice for ongoing services). CypherSys may suspend or terminate immediately if the client materially breaches these Terms or the agreement, fails to pay, or if continuation would violate law. Upon termination, the client remains responsible for outstanding payments.

11. Änderungen

CypherSys may update these Terms at any time. Changes are published on this page with an updated effective date. Continued use after the effective date constitutes acceptance. Material changes for existing clients will be communicated by email with at least 30 days' notice.

12. Anwendbares Recht

These Terms are governed by the laws of the Republic of Austria, excluding conflict of law provisions. The CISG does not apply.

13. Gerichtsstand

The competent courts in Vienna, Austria have exclusive jurisdiction over any disputes arising from or in connection with these Terms or CypherSys services, unless mandatory law provides otherwise.
